OF THE ASSOCIATION OF ENTREPRENEURSHIP PROMOTION<

CHAPTER I
General Resolutions

§ 1

ASSOCIATION OF ENTERPRENEURSHIP PROMOTION – in further resolutions of statute called "Association" – is a voluntary association of persons engaged to advancement of enterpreneurship development, staff teaching and training, contribution to economic initiatives and improvement of society’s economical knowledge.

§ 2

  1. Association is active in Polish Republic territory and abroad.
  2. Association’s seat is in Rzeszow.

§ 3

Association is able to appoint its local departments.

§ 4

Association is able to use of trademarks, symbols and organizational and membership badges.

§ 5

Association is active in accordance with the Polish legal order (law).

CHAPTER II
ASSOCIATION’S PURPOSES AND REALIZATION FORM

§ 6

Goals of Association are:

  1. supporting of local economic development,
  2. economic staff educating, managers teaching and training, creating inquiry infrastructure for schooling and exchange of information,
  3. integration of local enterprise environment and professional circle – pragmatists and scientists – round the common assignments,
  4. propagation amongst community direct and prospective advantages connected with entrepreneurship development,
  5. creating partnership with local authorities,
  6. combating unemployment and active influencing labour market,
  7. supporting the professional career of secondary school and higher education graduates,
  8. social and professional integration of people in danger of discrimination.

§ 7

Purposes precised in § 6 Association realize by:

  1. organizing into union as well as specialists as economic and scientific instructors, that are interested in problems of enterpreneurship promotion,
  2. organizing and financing as well as participation in organizing and financing lectures, meetings, conferences, training’s, trade fair and exhibitions,
  3. advancement and organization of analysis, study, investigations and papers in the range of the enterpreneurship problems,
  4. publicist, publishing, marketing and advertising activity,
  5. elaborating of expert appraisement and reports for economic subjects,
  6. cooperation with national, foreign and international associations which have similar range of activity,
  7. promotion and professional help for national and foreign investors,
  8. associating of polish and foreign productive and commercial firm,
  9. economical activity,
  10. organization and providing of high schools, post graduated and masters degree using all the new education techniques,
  11. preparation and execution of local, national and international projects,
  12. providing vocational guidance and vocational information,
  13. organizing training courses, practices, training periods and various forms of volunteering for pupils, students and graduates,
  14. providing psychological assistance, social and professional education and vocational stimulation.

CHAPTER III
MEMBERS, THEIR RIGHTS AND OBLIGATIONS

§ 8

  1. Members of Association divide into following groups:
    • charter members (original members),
    • regular members,
    • supporting members,
    • honorary members
  2. The foreigners may be Association’s members.

§ 9

  1. Charters and physical persons, who will declare and acquire recommendation (reference) in writing from 3 members at least charter are the regular members.
  2. Physical persons, who are registered in Association’s court registry book are the charter members.
  3. Admission and cancellation of the regular member list, follows on the ground of board of management’s resolutions (votes).

§ 10

  1. Physic person or a corporate body, who will take a declaration for collaboration and improvement of Association’s activity and will contribute a membership fee, which is defined by board, may be supporting member.
  2. Resolution § 9 act 3 comply adequately.
  3. Supporting member as a corporate body acts in Association by the mediation of his representative.

§ 11

  1. A person, who is peculiarly meritorious in fulfillment of Association’s purposes may be a honorary member.
  2. Conferment a dignity on an honorary member follows on the ground of general meeting’s resolution, undertaken after board motion.

§ 12

Regular members are entitled to:

  1. choose and be chosen to all Association authorities,
  2. participate in all forms of Association’s activity,
  3. take advantage of Association’s help,
  4. recommend candidates for regular members.

§ 13

Supporting members possess all the rights of regular (full) members, except authorization from § 12 p.1 and 4.

§ 14

Honorary member possess all the rights of regular (full) member, and moreover he is released from membership fee paying. Resolutions § 12, p.1 and 4 do not apply to honorary member.

§ 15

Members of Association are obligated to:

  1. obey the statute resolution, rules, acts and Association authorities resolutions;
  2. participate with activity in Association’s work;
  3. take care of good reputation of Association.

§ 16

  1. Association membership comes to end in the case of:
    • voluntary resignation and leaving Association confirmed by a letter to board
    • condemnation at court for common offence
    • strike of the list by board in the reason of Association’s statute violation
    • strike of the list by board in the reason on non active work for the Association without any reason in the period longer than one year
    • strike of the list by board in the reason of a non contribution of membership fee for more than one year
    • strike of the list by board in the reason of providing of competitive activities for the Association without any earlier commitment signed with board.
  2. Resolutions of removal undertakes board of Association.
  3. In case of removal , an appeal to general meeting is vested, but only up to 30 days from the date of delivery this resolution in writing.
  4. The resolution of general meeting reconsidering this appeal is suspended.
  5. Until the resolution is not followed by the board the membership

CHAPTER IV
ASSOCIATION AUTHORITIES AND THE PROCEDURE OF THEIR CHOICE

§ 17

  1. Association authorities are composed of:
    • general meeting of members,
    • board of association,
    • appeal committee,
  2. The choice of authorities goes on it secret and open voting depending from general meeting resolution. Only the regular members could be chosen for authorities.
  3. The term of authorities is 5 years.
  4. The resolution of general meeting authorities are passed by simply majority of votes in the presence of at least 1 of general number of members, who are qualified for voting, if further resolution do not determine otherwise.
  5. If somebody from membership will leave before expiration of term, his authorities are allowed to co-opt among regular members of association, but number of co-opted members can not exceed 1/3 members from the original choice
  6. Authorities are able to resolve their own rules and regulations, designating in details the procedure; however they must be confirmed by general meeting of members.

§ 18

  1. General meeting of members is the highest authority of Association.
  2. General meeting of members may be ordinary or extraordinary.
  3. The competencies of general meeting of members are:
    • settlement of association’s activity directions,
    • examining and confirmation the reports of board and appeal committee,
    • choice of the board members and appeal committee members,
    • choice of the president of Association and of the board,
    • giving a vote of acceptance to board after the motion of appeal committee,
    • examining member’s appeals for board decision of cancellation,
    • conferment a dignity on a honorary member after board’s motion,
    • resolving changes in statute of the Associations
    • passing resolutions of Association dissolution and its property appropriation,
    • confirmation the statute of Association, board and appeal committee,
    • passing the resolution concerning the accession of Association to international associations,
    • passing other resolutions, which require general meeting’s decision.
  4. General reporting meeting is assembled by board at least once per 3 years.
  5. General meeting of members should inform its members about fixed date and order of general meeting at least 14 days before planned appointment.

§ 19

  1. Extraordinary general meeting of members is assembled:
    • on the ground of board resolution,
    • on demand of appeal committee,
    • on the writing suggestion at least 1/3 part of general numbers of Associated members.
  2. Board assembles extraordinary general meeting in the term of three months from the date of receipt motion requirement and passing the resolution.

§ 20

Resolutions of general meetings are passing by simply majority of votes with the presence of at least 1 members qualified to vote in the first term; and in the second term regardless of number of present persons.

§ 21

  1. Board operates the whole of Association’s activity in the terms between general meeting of members and is responsible for its work to meet the general meeting requirements.
  2. Board’s competencies are as follow:
    • to direst activity and to administer funds and property of Associations,
    • accomplishment of resolutions of general meeting of members,
    • settlement of plan activity and Association’s budget; reporting accounts to general meeting of members,
    • activity in the name of Association and representing in outside,
    • assignation of membership fee,
    • cooperation with organs of self-government and government administration in realization programs, which are conformable with association’s purposes,
    • conclusion for conferment a dignity of honorary membership by general meeting of members,
    • passing resolutions of cancellation off the Association,
    • passing resolutions of affairs not reserved to other association authorities competences,
    • assembling general meeting of members.

§ 22

  1. Board consists of 3 – 5 members chosen by general meeting of members.
  2. Board president is chosen by general meeting of members.
  3. Members of board choose vice-president, a treasurer and a secretary from their own group.

§ 23

Board decisions are passing by simply majority of votes.

§ 24

  1. Board operates the activity and represents association outside.
  2. For passing declaration of willingness, in the range of property rights and obligations, entering into an engagement and to reprimand full powers – there are together two members of board, who are authorized for such activity.

§ 25

  1. Appeal committee consist of 3-5 members chosen by general meeting of members.
  2. Appeal committee chooses: a chairman, assistant chairman and secretary from their group.
  3. Members of appeal committee are not able to be members of other association’s authorities.

§ 26

Appeal committee’s competencies are as follows:

  • inspection and estimation the whole of association’s activity at least once a year,
  • passing reports of own activity to general meeting of members and passing vote of acceptance of accounts for outgoing board.

§ 27

  1. The chairman of appeal committee or authorized by him members of appeal committee are entitled to take part in board sessions in an advisory capacity.
  2. Appeal committee sessions are in progress – as the need arises – not so rarely, but often than twice a year

§ 24

CHAPTER V
ASSOCIATION’S PROPERTY

§ 28

Property of Association is created of:

  1. Ze sk³adek cz³onkowskich.
  2. membership fee payments,
  3. donations, inheritances, legacies,
  4. allocations for associations,
  5. incomes from association’s property,
  6. public generosity.

§ 29

The economic activity of Association is realized through own sections which act in accordance with obligatory rules.

§ 30

  1. Accountancy and evidence of Association property are leading according to general book – keeping rules.
  2. A calendar year is assumed as financial, reporting and account year.

CHAPTER VI
THE CHANGE OF THE STATUTE
AND CANCELLATION OF ASSOCIATION

§ 31

The project of statute changing is assumed by general meeting by the majority of 2/3 votes and with the presence at least 1 general number of persons. Who are authorized to vote.

§ 32

Resolutions concerning the cancellation of Association and appropriation of its passes ordinary and extraordinary general meeting by the majority of 2/3 votes and with the presence at least 2/3 general number of person, who are authorized to vote.

§ 33

In the matters unnormalized in this statute, the rules of law (07.04.89 Prawo o stowarzyszeniach Dz.U.Nr 20 z dnia 10.04.89) are obligatory.
